1. Who we are
This website is operated by Foshan Ruwei Enterprise Management Co., Ltd. (佛山市如薇企业管理有限公司), a limited liability company registered in the People's Republic of China, Unified Social Credit Code 91440606MAE46N2M4K, registered office at Office 2048, 2/F, No. 15 Zhanye Road, Xijiao Community, Ronggui Street, Shunde District, Foshan, Guangdong (the "Company", "we").
2. Scope
These Terms govern the use of this website and pre-contractual enquiries. The supply of goods is governed by a written sales contract signed by both parties and by the invoices issued under it. Consulting and sourcing services are governed by a separate written agreement or scope of work. If these Terms conflict with a signed contract or agreement, the signed document prevails.
3. Information on this website
Product areas, services and examples shown on this website are indicative and do not constitute an offer. Nomenclature, specifications, quantity, price, availability and the scope of any service are binding only once confirmed in writing by the Company.
4. Orders for goods
- Orders are placed in writing by e-mail and specify the goods, required quality, quantity and value.
- An order becomes binding when the Company issues an invoice stating the goods, prices, delivery terms and the applicable Incoterms rule. The invoice serves as the order confirmation.
- The Company may decline any order without giving reasons.
5. Consulting and sourcing services
- Services include supplier search and selection, negotiation and deal support, business development advice, and coordination of quality inspections and logistics.
- The scope, fee, deliverables and timeline of each engagement are agreed in writing before work begins.
- The Company acts with reasonable skill and care within the agreed scope. Decisions to contract with a manufacturer or supplier remain with the client, and the Company does not guarantee the performance of third parties unless this is expressly agreed in writing.
- Services are commercial advice and do not constitute legal, tax, audit or investment advice.
6. Prices and payment
- Prices and fees are stated in US dollars unless otherwise agreed in writing. What a price includes (packing, marking, clearance, inspection) is stated in the invoice or agreement.
- Payment is made by bank transfer by the contracting party, to the Company's account stated in the signed contract. Payments by third parties or in cash are not accepted.
- Each party bears the charges of its own bank.
- The Company never changes its bank details by e-mail alone. Any notice of changed bank details must be verified with us through a separate channel before payment.
7. Delivery, title and risk
Goods are delivered under the Incoterms rule and within the lead time stated in the invoice. Title and risk pass to the buyer at the point of delivery determined by that rule.
8. Quality and claims
Acceptance of goods does not release the Company from liability for hidden non-conformities. Claims must be made in writing with supporting evidence; the Company replies within 10 calendar days of receipt.
9. Compliance
- The Company does not supply military goods, weapons, or dual-use items and other goods subject to export licensing.
- The Company complies with applicable export-control, customs, anti-money-laundering and sanctions laws and screens counterparties before the first order.
- Clients confirm that goods are purchased for lawful commercial purposes and will not be supplied, directly or indirectly, to any person, destination or end-use prohibited by applicable sanctions or export-control rules.
- The Company may suspend or cancel an order or engagement without liability where continued performance would expose it to a breach of such rules.
10. Limitation of liability
Save for wilful misconduct, each party's liability is limited to documented direct damages. For services, the Company's aggregate liability is limited to the fees paid for the engagement concerned. The Company is not liable for indirect or consequential loss, loss of profit or reputational loss. Nothing on this website creates liability beyond what is set out in a signed contract or agreement.
11. Intellectual property
Texts, images and design of this website belong to the Company or are used under licence and may not be copied or reused without written permission. Reports and other deliverables prepared for a client pass to that client once the related fee is paid.
12. Confidentiality
Commercial information exchanged in enquiries, orders and engagements is treated as confidential. It is disclosed only where required by law, to banks for payment processing, to customs and logistics providers to perform delivery, or to manufacturers and suppliers to the extent needed to carry out a client's request.
13. Governing law and disputes
These Terms are governed by the laws of the People's Republic of China. Disputes are first settled by negotiation. Disputes not settled by negotiation are referred to arbitration as provided in the signed contract or agreement, or, where none applies, to the China International Economic and Trade Arbitration Commission (CIETAC) under its rules.
14. Changes and contact
We may update these Terms; the date above shows the current version. Questions: info@foshanruwei.com.
